Sale and Leaseback - GP Surveyors

Church Lane Medical Centre in Lincolnshire, a successful purpose-built practice, was owned by four GP Partners who had retired and wanted to release their equity from the sale of their GP property.

When the partners retired from practising, they engaged GP Surveyors to establish a lease agreement with themselves as landlords and the remaining practising GPs as tenants.

GP Surveyors consulted both the retiring partners (landlords) and the remaining practice doctors (tenants) to determine their lease requirements. The retiring partners aimed to maintain investment value, while the incoming partners sought a lease that the NHS body would approve as value for money for financial assistance applications under the Premises Cost Directions.

Once the Heads of Terms were agreed upon and signed by all the retiring partners, they were sent to solicitors to draft the lease. The lease was then finalised and successfully passed through the NHS lease approval process. Ensuring that there would be no shortfall in rent, between the NHS’s reimbursement and the rent paid to the landlords.

Having let the practice for a year the landlords approached GP Surveyors for advice on the potential sale of Church Lane Medical Centre. The landlords met with Rebecca Reynard (GP Surveyors, Director) for a comprehensive consultation on their options.

After confirming that the current tenants did not wish to purchase the practice and discussing their situation and requirements with Rebecca, the partners decided to proceed with a straightforward sale on the open market. GP Surveyors were instructed to move forward on this basis.

GP Surveyors began marketing the surgery, creating bespoke sales literature that included a detailed investment breakdown, photographs, and floor plans of the property, along with the lease details. The sales literature for Church Lane Medical Centre was then distributed to GP Surveyors’ extensive database of over three hundred specialist primary care investors and listed on their website.

Several suitable offers were received, and Rebecca began negotiations with potential buyers to ensure the best outcome for the partners. After financially qualifying the interested parties’ final bids, Rebecca presented them to the partners, advising on which offer would be most beneficial. The partners ultimately accepted the offer from a private investor, Mr Bodalia, who owned other primary care premises. Rebecca managed the process through to completion and exchange.

Stoneycroft Medical Practice in Liverpool, a thriving purpose-built practice was owned and occupied by three GP Partners who were all looking to retire and release their equity from the property.

Having previously carried out the surgeries Notional Rent review, the partners contacted GP Surveyors to advise them upon the potential Sale and Leaseback of their surgery.

Dr. Liz Bainbridge, (former part-owner) commented:

“Three years ago, GP Surveyors worked successfully for us to secure a significant uplift in the Notional rent paid annually by NHSE for our Practice building. So, when planning our retirement and succession for the Practice we had no hesitation in returning to GP Surveyors for advice regarding the most appropriate HoTs for a new lease and then the sale of the building.”

The Partners met with Rebecca Adams (GP Surveyors, Business Development Manager) for a full consultation of their options. Option one was to recruit new partners to buy out the existing partners and take over the GMS contract. Option two was to recruit new partners who did not want to buy in and become landlords, with a lease in place between themselves and new GPs as tenants. This lease would then be sold. Option three was the sale and transfer of the property and GMS contract to an alternative provider. Option four was to transfer the GMS Contract to an alternate provider, whilst agreeing to a lease in tandem with the alternate provider. This lease would then be sold. Option five was to merge with a neighbouring practice and put a lease in place between the existing property-owning partners (Landlords) and the GP’s from the neighbouring surgery (Tenant’s). This lease would then be sold.

Having discussed their specific situation and requirements with Rebecca, the Partners decided that option five was the most realistic, as a neighbouring surgery had already expressed interest and were looking to expand. GP Surveyors were therefore instructed to proceed on this basis.

The next step in the process was for Rebecca to consult with the Stoneycroft partners and the incoming practice partners to identify their lease requirements. The Stoneycroft partners were seeking to maintain investment value and this needed to be balanced with the incoming partner’s desire to have a lease that the NHS body would approve as value for money, when an application for financial assistance was made under the Premises Cost Directions.

Once Heads of Terms were agreed and signed by all the practice partners, Rebecca sent them to the practices’ solicitors, Hill Dickinson LLP, for them to draft the surgeries lease. The lease was then finalised and successfully passed through the NHS lease approval process first time.

The next stage in the process was for GP Surveyors to begin to market the surgery. GP Surveyors developed bespoke sales literature, including the finalised lease, photographs, and floor plans of the property. Stoneycroft Medical Practices’ sales literature was then sent to GP Surveyors’ extensive database of over 300 specialist primary care investors and the property listed on our website.

Several suitable offers for the property were received, and Rebecca began negotiations with the potential purchasers to ensure the best outcome for the Partners. Having financially qualified the interested parties’ final bids, Rebecca presented them to the Partners, advising as to which offer GP Surveyors consider would be most beneficial. The Partners’ final decision was to accept the offer of a private investor, who held a portfolio of other primary care premises. Rebecca then managed the process through to completion and exchange.

GP Surveyors’ Sale and Leaseback of Stoneycroft Medical practice achieved a sale price that the departing partners were very pleased with and enabled them to release their equity and enjoy their retirement.

The new GPs continued to practice from the premises under the lease, with the security that the lease rent would be reimbursed by the NHS body. Succession could also be eased, as new partners no longer need to raise significant funds to buy into the Practice.

Friarwood Surgery in Pontefract, a thriving purpose-built practice was owned and occupied by eight partners, each at different stages in their career and with a varied age profile, their case study shows how Sale and Leaseback benefited the practice.

The partners of Friarwood Surgery wanted to eliminate some barriers to future recruitment, release equity, make the practice more attractive to future partners, and secure long term NHS England financial support. They instructed GP Surveyors to source appropriate investors for a Sale and Leaseback transaction, negotiate suitable lease terms and price, and organise the funding approval from NHS England.

GP Surveyors managed the transaction from beginning to end, ensuring the key objectives of the partners were fulfilled, in achieving an attractive sale price and having a selection of potential investors from which to choose their future landlord.

GP Surveyors developed bespoke sales literature to formally market Friarwood Surgery to attract a suitable investor.  Numerous offers in excess of the asking price were secured and GP Surveyors undertook due diligence including background checks on interested parties to assist the partners at Friarwood Surgery in reaching their preferred choice. The transaction was awarded to Assura plc, a leading long term investor in primary care premises.

The sale and leaseback transaction enabled the eight partners at Friarwood Surgery to remain in occupation, without the risks and responsibility of ownership.  This enabled the release of capital and, crucially, the provision of flexibility for retirement and ability to attract new partners to the practice who might not want the capital exposure associated with buying into premises.

GP Surveyors carry out Sale and Leaseback transaction to private investor.

Cestria Health Centre in County Durham is a purpose built medical practice which was owned and occupied by three partners, each at different stages in their career, with a varied age profile.

Existing partners of Cestria Health Centre wanted to release equity, eliminate future barriers for recruitment and make the practice more attractive to future partners. The practice instructed the services of GP Surveyors, to utilise 17 years of primary care premises experience, leverage the vast contact base of potential investors and draw upon the intimate knowledge of the sale and leaseback process.

Jonathan Dunn, Business Manager of GP surveyors was assigned to the project and managed the transaction from beginning to end. Jonathan sourced appropriate investors for the transaction, advised and negotiated suitable lease terms, heads of terms and sale price and arranged approval from NHS England.

A private investor was sourced and the 3 property owning partners remain in occupation of the surgery but without the responsibilities of ownership. The deal enabled the equity owning partners to release capital, improve operational cash flow and reduce their tax liabilities.

The provision of flexibility for retirement and ability to attract incoming partners has proven to be a success and the practice now has two new partners with five in total.
